Patient Testimonial
Consent and Release

This Patient Testimonial Consent and Release (the "Release") is granted by the undersigned individual (the "Contributor", "I", or "me") in favour of Phoenix Digital Health Inc., a corporation incorporated under the laws of Canada with its head office at #1400-200 Wellington St. W Toronto, ON M5V 3C7 (the "Company"). The Company operates a digital telehealth platform serving patients across Canada (the "Platform").
I have agreed to provide a testimonial about my experience with the Platform, and in consideration of the Company's consideration and potential use of that testimonial, and other good and valuable consideration (the receipt and sufficiency of which I acknowledge), I agree as follows:
1. Contribution. "Contribution" means, collectively: (a) any written, oral, recorded, photographed, filmed or streamed statement, comment, review, story or testimonial I provide about the Platform, the Company or my experience as a patient (the "Testimonial"); and (b) my name, voice, likeness, image, signature, biographical details, occupation, province of residence, age range, and other identifying information I provide or that is captured during production (my "Persona"), in any form or medium now known or later developed.
2. Grant of Rights. I irrevocably grant to the Company and its affiliates, successors, assigns, licensees, sub-licensees, agents and authorized service providers (the "Company Group") a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, non-exclusive, transferable and sub-licensable right and licence to use, reproduce, publish, display, perform, distribute, broadcast, stream, transmit, store, edit, adapt, translate, modify, create derivative works of, combine with other content, and otherwise exploit the Contribution, in whole or in part, for any marketing, advertising, promotional, public relations, investor relations, recruitment, educational, internal and commercial purposes of the Company Group.
3. Permitted Media. The grant in Section 2 extends to all media now known or later developed, including the Company's websites and apps; social media (e.g., Facebook, Instagram, X, LinkedIn, YouTube, TikTok and successor platforms); paid digital advertising; email and SMS marketing; podcasts; print materials; broadcast and streaming television; radio; out-of-home advertising; conferences and presentations; press releases; and investor or partner materials.
4. Editing and Compositing. The Company Group may edit, excerpt, abridge, alter, translate, dub, subtitle, retouch and combine the Contribution with other materials (including other testimonials, voiceover, music and graphics), provided the Contribution is not used in a manner that is materially false, defamatory, or that materially misrepresents my views about my health or treatment.
5. Truthfulness; Nominal Consideration. The Testimonial reflects my own honest opinions and actual experience with the Platform. My participation is voluntary, and if any consideration is offered, I acknowledge it is a nominal amount. I waive any claim to royalties, residuals or ongoing payments. I will disclose any material connection to the Company if required by the Canadian Code of Advertising Standards or Competition Bureau guidance.
6. Privacy and Health Information Consent. I understand that the Contribution may include or reveal personal information and personal health information about me. I expressly consent, under the Personal Information Protection and Electronic Documents Act (Canada) and any applicable provincial privacy or health-information legislation in my province of residence (including, as applicable, Ontario's Personal Health Information Protection Act, 2004; Quebec's Act respecting the protection of personal information in the private sector and Act respecting health services and social services; British Columbia's Personal Information Protection Act and E-Health Act; Alberta's Personal Information Protection Act and Health Information Act; and the equivalent statutes in other provinces and territories), to the collection, use and disclosure by the Company Group of all such information for the purposes set out in this Release. I may withdraw this consent in writing at any time on a go-forward basis, but withdrawal will not affect uses of the Contribution that have already occurred or that are already contractually committed (including media buys and printed copies in circulation).
7. Cross-Border Transfer. I acknowledge that the Company Group uses service providers and platforms located outside of my province of residence and outside of Canada (including in the United States), and I consent to my Contribution being stored, processed and disclosed in those jurisdictions and being subject to the laws of those jurisdictions for the purposes set out in this Release.
8. Release; Moral Rights; Inspection. To the fullest extent permitted by law, I release the Company Group and its directors, officers, employees, contractors, agents, licensees, advertising agencies, publishers and broadcasters from all claims arising from the lawful use of the Contribution as authorized in this Release, including claims for defamation, invasion of privacy, misappropriation of personality, infringement of publicity rights, and breach of confidence. I irrevocably waive any moral rights and droits moraux I may have in the Contribution under the Copyright Act (Canada) and the laws of any other jurisdiction. I waive any right to inspect or approve the finished materials before publication.
9. Ownership; No Obligation to Use. As between the Company and me, all recordings, photographs, edited materials and derivative works embodying the Contribution are the exclusive property of the Company, and the Company is the sole owner of all copyright in those materials; to the extent any rights vest in me, I assign them to the Company. The Company is under no obligation to use the Contribution and may discontinue use at any time.
10. Capacity. I am at least 18 years of age (or the age of majority in my province of residence) and have full legal capacity to grant this Release; or, if I am signing on behalf of a minor or other person who lacks capacity, I am the parent, guardian, attorney or substitute decision-maker with lawful authority to do so. I have had the opportunity to obtain independent legal advice.
11. Governing Law. This Release is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that Province. The parties attorn to the non-exclusive jurisdiction of the courts of Ontario sitting in Toronto, except that the Company may seek injunctive relief in any court of competent jurisdiction. Nothing in this Section limits any non-waivable consumer-protection or privacy rights I have under the laws of my province of residence.
12. Language; Counterparts; Entire Agreement. The parties have requested that this Release be drawn up in English. Les parties ont expressément exigé que le présent document soit rédigé en anglais. This Release may be signed in counterparts and delivered electronically (including by PDF or e-signature platform), each of which is an original and which together form one instrument. This Release constitutes the entire agreement between the parties on its subject matter; if any provision is unenforceable, the remainder continues in effect.
ACKNOWLEDGMENT
I HAVE READ THIS RELEASE BEFORE SIGNING. I UNDERSTAND THAT IT GRANTS THE COMPANY GROUP BROAD, ROYALTY-FREE, PERPETUAL, WORLDWIDE RIGHTS TO USE MY TESTIMONIAL AND PERSONA IN ALL MEDIA. I SIGN IT VOLUNTARILY.
